The Platform is an internet-based service that acts as an aggregator for activities available for children, functioning as an intermediary for providing information and facilitating online bookings related to the availability of classes, workshops, events, salons, restaurants, day care, pre schools, Paediatrics and similar offerings (“Services”). For the purpose of these Terms of Use, the individual accessing this information is referred to as the "Service User," and the individual, company, or entity offering these services is the "Service Provider." Together, the Service User and Service Provider are referred to as the "Users." Kidywidy operates as a facilitator or marketplace connecting Service Users with Service Providers, and its responsibilities and liabilities are limited to those outlined in these terms with respect to the use and dissemination of information and services.

By visiting our website and/or making a purchase, you engage with our “Service” and agree to comply with the following terms and conditions (“Terms of Service” or “Terms”), including any additional terms and policies referenced here or linked to in this document. 2. USE OF THE PLATFORM AND SERVICES

Kidywidy makes no claims that the Platform or Services are appropriate or available for use in other locations. If you access or use the Platform or Services from other jurisdictions, you do so at your own risk and are responsible for compliance with local laws. The Platform may also contain content hosted on sites outside India.

2.2 Purpose of Platform

The Platform benefits Service Users, who can access resources and materials provided by Service Providers.

2.3 Age Requirements for Service Users

Service Users under the age of 18 must be accompanied by a parent or guardian who is over the age of 18 when using the Platform. The accompanying individual must ensure their presence is visible to the Service Provider while using the Platform's Services.

2.4 User Representation

The User affirms that they are at least 18 years of age and that:

a) All registration information submitted is truthful and accurate;

b) The User will maintain the accuracy of this information. If it is discovered that the User has violated these terms, their registration may be canceled immediately without any financial compensation.

2.5 Content Accuracy and Changes

Content, including program details on the Platform, is provided for informational purposes only. Kidywidy has the right to modify the content at its discretion at any time, without prior notice.

2.6 Service Provider Responsibility

Kidywidy does not provide the services directly and has no control over the Service Providers or the services they offer. Service Users acknowledge that any services availed via the Platform are subject to the terms and conditions established in the agreement between the User and the Service Provider, not by these Terms.

2.7 Changes to the Services

Kidywidy reserves the right to change, suspend, or permanently discontinue all or part of the Services (including the Platform and the devices through which the services are accessed) at any time, with or without notice. You acknowledge that Kidywidy may do so at its discretion, and agree that Kidywidy will not be held liable for any such changes.

2.8 Technical Issues

Kidywidy will not be responsible for any delays in transmission caused by technical issues on the user's end.

2.9 Advertising and Promotions

The Platform may display promotional content or advertisements submitted to Kidywidy for revenue generation purposes. Users acknowledge that Kidywidy is not responsible for the accuracy or reliability of such content. It is the User’s responsibility to verify the contents of such advertisements before relying on them.

2.10 You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature.

3. USER IDS, PASSWORDS, AND RESTRICTED USE

3.1 Account Creation

Users can access and use the Platform by creating an account through the registration page, where they will be required to provide their name, email address, and other contact information.

3.2 Confidentiality of User ID and Password

If a User is assigned a user ID and password to access the Platform or any related content or services, they must ensure that the user ID and password are kept confidential.

3.3 Responsibility for Account Activity

The User agrees to take full responsibility for all activities conducted through their account. In the event of any illegal activity or loss/damage arising from such activity, the User will be solely liable.

3.4 Prohibition on Sharing Account Credentials

The User agrees not to allow any third party to use their user ID or password to access the Platform or its services.

3.5 Reporting Unauthorized Use

If the User becomes aware of any unauthorized use of their user ID and/or password, they agree to notify Activity Guru immediately at support@kidywidy.com.

3.6 One Account per User

Each User is allowed only one account and is prohibited from creating multiple accounts.

3.7 Account Suspension or Cancellation

Kidywidy reserves the right, at its sole discretion, to suspend, cancel, or disable the User’s account, user ID, or password, without notice or explanation.

3.8 Disclosure of Information

Kidywidy may disclose any information required by law, regulation, or legal authorities, including governmental, administrative, regulatory, or judicial bodies. Additionally, Kidywidy may disclose the User’s name, address, phone number, email, or other information if deemed necessary in connection with an investigation related to fraud, intellectual property infringement, piracy, or other unlawful activities.

4. ACCURACY OF BILLING AND ACCOUNT INFORMATION

4.1 Authorization for Payment

By signing up for the Services, you expressly authorize Kidywidy to charge you for the Services you purchase, including any applicable taxes, through the payment method (such as a credit card or other payment methods) you provided during registration.

4.2 Billing Information

Billing refers to a charge or debit applied to your Payment Method. To ensure uninterrupted access to the Services, it is your responsibility to fulfill all payment obligations. Kidywidy reserves the right to pursue any unpaid amounts related to the Services.

4.3 Responsibility for Unpaid Amounts

You will remain liable for all outstanding amounts, including any costs incurred by Kidywidy to collect these amounts, such as collection agency fees, reasonable attorneys’ fees, and arbitration or court costs.

4.4 Third-Party Payment Gateway

Kidywidy only facilitates payment through a third-party payment gateway. The payment gateway provider manages the processing of your payment, and you are required to adhere to their terms and conditions. Kidywidy is not liable for any issues related to the payment processing, including delays or fraud. Any complaints regarding payment transfers should be directed to the payment gateway provider.

4.5 Accuracy of Payment Information

You are responsible for ensuring the accuracy and authenticity of all information provided, including payment details such as bank account or credit card numbers. Kidywidy is not liable for any losses incurred, whether direct, indirect, incidental, or consequential, arising from delays or issues in processing payment instructions, including credit card fraud. Any payment-related complaints will be forwarded to the third-party payment gateway provider for resolution.

4.6 Order Acceptance and Limitations

Kidywidy reserves the right to refuse any order you place. We may, at our sole discretion, limit or cancel orders based on factors such as quantity, customer account, payment method, or shipping address. If we make changes or cancel an order, we will attempt to notify you using the contact information provided at the time of purchase.

4.7 Accuracy of Purchase and Account Information

You agree to provide accurate, current, and complete information for all purchases made through the Platform. You will promptly update your account information, including email address and payment details, so that we can process your transactions and contact you as needed.

4.8 Payments to Service Providers

Service Providers will receive payments from Kidywidy on a bi-monthly basis, after deductions for applicable taxes, including TDS. To facilitate these payments, Service Providers must provide their bank account details to Kidywidy.

4.9 Commission Fees

Service Providers agree that Kidywidy will charge a mutually agreed commission fee on the total revenue earned by the Service Provider through the Platform. Payments to the Service Providers will be made after deducting this commission fee.

5. THIRD-PARTY LINKS

5.1 Third-Party Content and Links

Certain content, products, and services available via our service may include materials from third parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy, and we do not warrant or accept any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties.

5.2 Liability for Third-Party Transactions

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

6. OWNERSHIP

6.1 Ownership of the Platform

Kidywidy is the sole and exclusive owner of the Platform. Except as expressly provided in these Terms, all copyrights, trademarks, service marks, logos, trade names, including all associated intellectual property rights, shall vest with Kidywidy at all times.

6.2 Restrictions on Use

You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights incorporated in or accompanying the Platform.

6.3 Third-Party Content

Kidywidy claims no ownership interest in any third-party content and expressly disclaims any liability concerning those materials.

6.4 Reservation of Rights

Kidywidy reserves all rights not expressly granted in and to the Platform.

7. USER COMMENTS, FEEDBACK, AND OTHER SUBMISSIONS

7.1 User Submissions

If, at our request, you send certain specific submissions (for example, contest entries) or without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the service or any related website. 8. GENERAL CONDITIONS

Subject to your compliance with the Terms herein, Kidywidy hereby grants the user a personal, limited, non-exclusive, non-transferable, freely revocable license to use the Services. Except for the foregoing limited license, no right, title, or interest shall be transferred to the user. The content on the Platform and/or the +Services is provided to the user “AS IS” for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcasted, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of Kidywidy. We reserve all rights not expressly granted in and to the Platform and/or the Services.

8.2 Lawful Use

The user agrees that the Platform shall only be used for lawful purposes and that the users shall not violate any law, regulations, ordinances, or any other applicable law.

8.3 Restrictions on Use

The user agrees not to:

• Share any contact details/information on the Platform without the permission of Kidywidy
• Use the material on this Platform for any use other than your personal and/or business use.
• Sell, rent, or sub-license material from the Platform.
• Use this Platform in any way that limits or restricts user access.
• Use this Platform, or data collected therefrom, in relation to advertising and marketing, including but not limited to e-mail marketing, SMS marketing, direct marketing, and/or telemarketing.
• Use this Platform in any way that causes, or may cause, damage to this Platform or impairment of the availability or accessibility of the Platform; or in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
• Decompile, reverse engineer, disassemble, or otherwise attempt to derive source code from the Platform and circumvent, remove, alter, deactivate, degrade, or thwart any of the content protections in the Platform or the Services.
• Either directly or through the use of any device, software, internet platform, web-based service, or other means copy, download, stream capture, reproduce, duplicate, archive, distribute, upload, publish, modify, translate, broadcast, perform, display, sell, transmit or retransmit the content unless expressly permitted by Kidywidy.
• Either directly or through the use of any device, software, internet platform, web-based service, or other means remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the content or any digital rights management mechanism, device, or other content protection or access control measure associated with the content, including geo-filtering mechanisms.
• Use the Platform or the Services in any manner that could damage, disable, overburden, or impair and not to undertake any action which is harmful or potentially harmful to any of Kidywidy’s server(s), or the network(s), computer systems/resources connected to any of Kidywidy’s server(s), or interfere with any other person’s use and enjoyment of the Platform or the Services.
• Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Platform/Services.
• Carry out any denial of service (DoS, DDoS) or any other harmful attacks on the application or internet service or use the Platform or the Services for illegal or unlawful purposes.
• Disrupt, place unreasonable burdens, or excessive loads on, interfere with or attempt to make or attempt any unauthorized access to any of Kidywidy’s Platforms or the Platform of any of Kidywidy’s customer(s).
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Platform or the Services.
• Attempt to gain unauthorized access to the Services, other accounts, and computer systems through hacking, password mining, or any other means. You shall not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Platform or the Services.
• Incorporate the Platform or the Services into or retransmit via, any hardware or software application or make it available via frames or in-line links unless expressly permitted by Kidywidy in writing.
• Create, recreate, distribute, or advertise an index of any significant portion of the Platform or Services unless authorized by Kidywidy.
• Use or launch any robots, spiders, offline readers, etc., or any other automated system, that accesses the Platform or the Services in a manner that sends numerous automated requests to the Platform’s servers in a given period of time, which a human cannot reasonably send in the same period by using conventional web browsing applications or tools for similar purposes.
• Send or post any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other forms of solicitation like solicit login information or access an account belonging to someone else.
• Use the Platform or the Services for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms of Use.
• Impersonate or misrepresent your affiliation with any person or entity.
• Encourage or enable any other individual to do any of the foregoing.
• Not misconduct yourself in any manner which may lead to any criminal prosecution or legal proceedings.
• Not use the Platform in any manner which is harmful, threatening, abusive, harassing, defamatory, libelous, or otherwise objectionable, invasive of another individual’s privacy.
• Violate any law for the time being in force.

8.4 Right to Refuse Service

We reserve the right to refuse service to anyone for any reason at any time.

8.5 Data Transfer

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

8.6 Relationship

None of the provisions of the Terms shall be deemed to constitute a partnership or agency between the user and Kidywidy, and the user shall have no authority to bind Kidywidy in any manner, whatsoever. This agreement is solely for your and Kidywidy’s benefit and not for the benefit of any other person, except for permitted successors and assigns under this agreement, unless the contrary is stated.

8.7 Assignment

You may not transfer to anyone else, either temporarily or permanently, any rights to use the services or any part of the services. Any attempt by you to do so is void. Kidywidy may assign, transfer, delegate, and/or grant all or any part of its rights, privileges, and properties hereunder to any person or entity.

8.8 Force Majeure

Neither Kidywidy nor the user shall have any liability for any interruption or delay in accessing the Platform due to a Force Majeure Event. For the purposes of this clause, a “Force Majeure Event” means any event or circumstance or combination of events and circumstances which is reasonably beyond the control of the person affected thereby and which causes or results in default or delay in performance by such affected person of any of its obligations under this agreement, including but not limited to an act of God, war, hostilities, civil commotion, strikes, lockouts, closure due to epidemics and/or pandemics, and other industrial disputes.

8.9 Applicable Law

These Terms are governed by and construed in accordance with the laws of India, without giving effect to principles of conflict of law. In the event of any dispute or claim by you against Kidywidy, you agree to submit to the exclusive jurisdiction of the courts at Delhi.

8.10 Survival

Rights and obligations under the Terms, which by their nature should survive, will remain in full effect after termination or expiration of the subscription.

8.11 Non-Waiver

Any express waiver or failure to exercise promptly any right under this agreement will not create a continuing waiver or any expectation of non-enforcement.

8.12 Entire Agreement

These Terms constitute the entire agreement between you and Kidywidy with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

9. ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

9.1 Kidywidy is not responsible if the information available on the platform is not accurate, complete, or up to date. The material provided is for general informational purposes only and should not be relied upon as the sole basis for decision-making. Always consult primary sources of information for accuracy, completeness, and timeliness. Any reliance on the materials from the platform is at your own risk.

9.2 The platform may include historical information, which is not current and should be used only for reference. Kidywidy reserves the right to modify the content of the platform at any time but is under no obligation to update the information. You agree to monitor any changes on the platform yourself.

10. MODIFICATIONS TO THE SERVICE AND PRICES

13.7 Kidywidy is not responsible for delays or inability to use the Platform or any failure to provide services due to any issues, including maintenance operations or unexpected suspensions.

13.8 Kidywidy’s total liability under these Terms of Use shall be limited to the amount you paid for the Service in the preceding one month.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Kidywidy and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

15. SEVERABILITY

You will remain liable for all amounts due up to and including the date of termination, and/or we may deny you access to our services (or any part thereof).

17. ENTIRE AGREEMENT

17.1 The failure of Kidywidy to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

17.2 These Terms of Service and any policies or operating rules posted by Kidywidy on this site or in respect to the Service constitute the entire agreement and understanding between you and Kidywidy and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Kidywidy (including, but not limited to, any prior versions of the Terms of Service).
